These Terms of Service ("Terms") are a binding agreement between you and Binevi Corporation Inc., operating as Soralady ("Soralady", "we", "us", "our"), and govern your access to and use of the Soralady website, and your purchase of any products from us. By accessing or browsing the site, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Refund Policy, and Shipping Policy, which are incorporated by reference. If you do not agree, please do not use the site or place an order.
"Site" means the Soralady website and any related pages, content, and services. "Products" means the goods offered for sale on the Site. "Order" means a request submitted by you to purchase Products. "You" and "your" refer to the person accessing the Site or placing an Order.
By using the Site you represent that you are at least the age of majority in your province, state, or country of residence, or that you are the age of majority and have given us consent to allow any minor dependents to use the Site under your supervision. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep it up to date. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or unlawful purposes.
We make every reasonable effort to display our Products and their descriptions, ingredients, colours, and packaging accurately. However, actual colours, textures, and packaging may vary due to your device's display, manufacturer changes, or batch variation, and images are for illustration only. Product availability is not guaranteed; all Products are offered subject to availability and we may discontinue, limit, or modify any Product at any time without notice. We reserve the right to limit the quantity of any Product sold per person, per household, or per Order.
Prices are listed in the currency selected at checkout and are exclusive of shipping, taxes, duties, and other charges unless stated otherwise. Our base currency is Canadian Dollars (CAD); prices shown in other currencies are approximate conversions and the amount charged may vary with exchange rates and your payment provider. Prices are subject to change at any time without notice. Despite our best efforts, Products may occasionally be mispriced or described incorrectly. If we discover an error in the price or description of a Product in your Order, we reserve the right to cancel the Order (before or after acceptance) and refund any amount paid, or to contact you for instructions, at our discretion.
Your submission of an Order is an offer to purchase, and does not constitute our acceptance. All Orders are subject to acceptance and verification by us. We may, at our sole discretion, refuse, cancel, or limit any Order for any reason, including suspected fraud, payment issues, pricing or stock errors, quantity limits, or resale. A contract of sale is formed only when we send you an order confirmation and/or dispatch confirmation. If we cancel an Order after payment, we will refund the amount charged.
Payment must be received in full at the time of Order through the payment methods offered at checkout. By providing payment information you represent that you are authorized to use the payment method. Payments are processed by third-party providers; we do not store full card details. You are responsible for any charges, fees, or currency-conversion costs applied by your bank or card issuer.
Promotional codes, discounts, and offers are subject to their specific terms, may be limited in time and quantity, cannot be combined unless stated, have no cash value, and may be modified or withdrawn at any time. Gift cards are non-refundable and cannot be redeemed for cash except where required by law. We reserve the right to cancel Orders or void discounts obtained through error, fraud, or misuse.
Delivery of Products is governed by our Shipping Policy, and returns and refunds by our Refund Policy. Please review both before ordering. Once an Order has entered processing we may be unable to change or cancel it; requests are handled on a best-effort basis.
Our Products are cosmetics and personal-care items intended for external use only, in accordance with their instructions. They are not medicines and are not intended to diagnose, treat, cure, or prevent any condition. Always read the label and ingredient list, patch-test before first use, and discontinue use if irritation or an adverse reaction occurs. If you have a medical condition, allergy, or are pregnant or nursing, consult a qualified professional before use. You use the Products at your own discretion and risk, and are responsible for determining their suitability for you.
All content on the Site — including text, graphics, logos, icons, images, illustrations, product names, and the "Soralady" brand — is owned by or licensed to us and is protected by copyright, trademark, and other laws. You are granted a limited, revocable, non-exclusive licence to access the Site for personal, non-commercial use. You may not copy, reproduce, republish, distribute, modify, or create derivative works from any content without our prior written permission.
If you submit reviews, comments, photos, or other content, you grant us a worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, adapt, publish, and display that content in connection with our business. You represent that your submissions are accurate, are your own or that you have the right to submit them, and do not violate any third-party rights or any law. We may remove or refuse any submission at our discretion and are not obligated to publish or maintain any content.
You agree not to use the Site: for any unlawful purpose; to solicit others to perform unlawful acts; to infringe our or any third party's intellectual property or rights; to harass, abuse, defame, or discriminate; to submit false or misleading information; to upload or transmit viruses or malicious code; to collect or track others' personal information; to spam, phish, or scrape; or to interfere with or circumvent the security features or proper operation of the Site. We may terminate your use for breach of these Terms.
The Site may contain links to third-party websites or services that are not owned or controlled by us. We are not responsible for the content, policies, or practices of any third party. Accessing third-party sites is at your own risk, and their terms and privacy policies apply.
Except where prohibited by law, the Site and Products are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that results obtained from using the Products will meet your expectations. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
To the fullest extent permitted by law, in no event shall Binevi Corporation Inc., its directors, officers, employees, affiliates, or suppliers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Site or Products, whether based in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages. To the extent liability cannot be excluded, our total aggregate liability arising from an Order shall not exceed the amount you paid for that Order.
You agree to indemnify, defend, and hold harmless Binevi Corporation Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your misuse of the Site or Products, or your violation of any law or third-party right.
We are not liable for any failure or delay in performing our obligations where such failure or delay results from causes beyond our reasonable control, including acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government action, labour disputes, carrier or supplier failures, power or internet outages, or shortages of materials.
These Terms and any dispute arising from them or from your use of the Site or purchase of Products are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada, for the resolution of any dispute, subject to any mandatory consumer-protection rights available to you in your place of residence.
We may update these Terms at any time by posting the revised version on the Site. Changes are effective when posted, and your continued use of the Site or placement of an Order after changes constitutes acceptance. Please review these Terms periodically.
If any provision of these Terms is found to be unlawful or unenforceable, that provision will be severed and the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of it. These Terms, together with the policies referenced above, constitute the entire agreement between you and us regarding the Site and supersede any prior agreements.
